ARTIST COMMISSION
Terms of Service
Please read the following carefully before submitting your order

1. PURPOSE
The purpose of this Agreement is to outline the terms and conditions under which the Commissioner will commission the Artist to create a specific work of art (the "Work"). This Agreement ensures that both the Commissioner and the Artist have a clear understanding of the expectations, timeline, compensation, and ownership rights associated with the creation and delivery of the Work.
2. SCOPE
The scope of this Agreement encompasses the design, creation, and delivery of the commissioned Work by the Artist, as described in detail below. This Agreement governs all aspects of the creation of the Work, including but not limited to communication, materials, deadlines, and the final acceptance of the Work by the Commissioner. Any changes to the scope must be made in writing and signed by both parties.
3. OBJECTIVES
The objective of this Agreement is to ensure a mutual understanding of the commissioned Work's specifications, the delivery process, and the respective responsibilities of both parties. This Agreement also establishes the legal framework regarding ownership, copyright, and payment for the commissioned Work.
4. DESCRIPTION OF THE COMMISSIONED WORK
4.1 Title and Description of the WorkThe Work to be created by the Artist is as follows:
Title/Working Title: "NAME WHAT YOU WOULD LIKE CREATED"
Description: A detailed description of the artwork, including dimensions, medium, colors, and specific elements to be included, must be provided.
Reference Material: Any reference material provided by the Commissioner should be listed on the order form and/or emailed to the artist.
4.2 Modifications
Any significant modifications or deviations from the initial description must be agreed upon by both parties in writing. Minor adjustments may be made at the Artist’s discretion without prior approval but must stay within the agreed parameters.
5. TIMELINE AND DEADLINES
5.1 Start Date
The Artist agrees to begin work on the commission no later than the agreed date by both parties.
5.2 Progress Updates
The Artist will provide regular progress updates at intervals determined by both parties. These updates may include sketches, digital previews, or photographs, depending on the medium of the Work.
5.3 Completion Date
The Artist agrees to complete the Work no later than the agreed desired date, unless otherwise agreed in writing due to unforeseen circumstances.
5.4 Delivery Date
The completed Work will be delivered to the Commissioner no later than the agreed completion date, in accordance with Section 6 of this Agreement.
6. DELIVERY OF THE WORK
6.1 Delivery Method
The Artist will deliver the completed Work to the Commissioner via digital delivery

6.2 Shipping Costs
If the Work is to be physically delivered, the following applies:
Shipping costs will be paid by the Commissioner and will be included in the overall commission price
6.3 Risk of Loss
The Artist assumes no responsibility for damage to or loss of the Work once it has been delivered to the carrier. Any insurance costs or protections will be the responsibility of the Commissioner.
7. FEES AND PAYMENT TERMS
7.1 Total Fee
The agreed-upon fee for the commissioned Work is determined via invoice in AUD (or USD. Both prices reflect exchange rate).
7.2 Payment Schedule
The Commissioner agrees to pay the Artist as follows:
An up-front full payment before work is started. Cause to deviate from this will be at the Artist's discretion.
7.3 Late Payment
Failure to make payments according to the agreed-upon schedule will result in a delay in the Work and may subject the Commissioner to additional fees for the inconvenience.
7.4 Payment Method
The Commissioner agrees to make payments via:
Revolut
PayPal
Payment methods to be checked on the completed order form.
8. ACCEPTANCE OF THE WORK
8.1 Approval Process
Upon receiving the completed version of the Work, the Commissioner has 1 day to review and either accept or request minor revisions to the Work. If revisions are requested, the Artist agrees to make these adjustments within 3 days, provided they fall within the scope outlined in this Agreement.
8.2 Final Approval
If the Commissioner does not respond within 3 days, the Work will be considered accepted and the final payment will be due.
9. REVISIONS AND ALTERATIONS
9.1 Revisions During Creation
Minor adjustments during the creation process (such as color changes or compositional tweaks) can be requested and executed at the Artist’s discretion, provided they do not materially alter the Work.
9.2 Post-Completion Revisions
Once the Work is completed, the Commissioner may request one round of minor revisions at no additional charge. Additional revisions or substantial alterations* requested after completion will be subject to an extra fee of $3 USD ($5 AUD) per revision.
*Substantial alterations in the opinion of the artist include but are not limited to: Major structural changes in linework, and colour composition.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Copyright Ownership
The Artist retains all rights to the intellectual property and copyright of the Work only, (no intellectual rights will be claimed towards the character/s object/s depicted). This includes but is not limited to the right to reproduce, display, or distribute copies of the Work for promotional purposes unless otherwise stated in this Agreement.
10.2 Commissioner’s Usage Rights
The Commissioner is granted a non-exclusive, non-transferable license to display and use the Work for personal purposes only. Commercial use, reproduction, NFT, Blockchain Technology, or resale of the Work without the Artist’s explicit written consent is strictly prohibited.
10.3 Attribution
If the Work is publicly displayed, reproduced, or shared by the Commissioner (e.g., on social media, websites, or exhibitions), the Artist must be credited as follows: "Artwork by Zoexhausted". With links included to direct interested parties to Zoexhausted’s socials.
10.4 Exclusivity
If exclusivity or complete transfer of copyright is desired by the Commissioner, separate written agreements must be made, and the Artist may charge an additional fee.
11. TERMINATION
11.1 Termination by Commissioner
The Commissioner may terminate this Agreement at any time before the completion of the Work by providing written notice. In the event of such termination, the Artist retains the deposit and any payments already made for work completed up to the point of termination. The Artist will not be obligated to deliver any portion of the Work that has been completed.
11.2 Termination by Artist
The Artist reserves the right to terminate this Agreement if the Commissioner fails to meet any obligations, including timely payments. In such an event, the Artist retains all rights to the Work, including any progress made up until termination.
11.3 Return of Deposit
In the event of termination by the Artist due to circumstances beyond their control, the deposit will be returned to the Commissioner, minus any expenses incurred.
12. FORCE MAJEURE
*Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, labour strikes, or natural disasters.
13. CONFIDENTIALITY
Both parties agree to keep all information related to the commission, including but not limited to financial information, personal data, and the details of the Work, confidential unless otherwise required by law or with written consent from the other party.
14. DISPUTE RESOLUTION
In the event of a dispute arising from or related to this Agreement, the parties agree to attempt to resolve the matter amicably through mediation. If mediation fails, the dispute shall be settled through binding arbitration conducted in Australia, NSW in accordance with the rules of the ADR for Art and Cultural Heritage Disputes.
15. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of New South Wales, without regard to its conflict of law principles.
16. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Artist and the Commissioner regarding the commissioned Work. Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
